The catch? Any entity outside a sole proprietorship must be registered with the CA Secretary of State first. And individuals need a green card or citizenship — no exceptions.

Before you even start an ABC application, there are two things you need to understand:

✔ A signed lease is required
✔ A conditional use permit may be required depending on your city

You can technically file early — but that doesn’t mean your license will be approved or activated.

I want to share something I've seen play out in restaurant and hospitality sales more times than I can count.

Two operators. Similar businesses. Same general revenue range. Same type of market.

One sells for significantly more than the other.

And it almost never comes down to luck.

The operator who got the stronger outcome typically had a few specific things in place:

A liquor license with a clean history — no flags, no complications, transferable without major friction.

Financials that were easy to verify and told a consistent story across multiple years.

A business that could operate without the owner being present every day — which signals to buyers that what they're buying will actually survive the transition.

And a clear narrative about what the business is, where the growth is coming from, and why it makes sense for the right buyer.

The other operator wasn't running a bad business. But they hadn't thought through how a buyer would experience the process of buying it.

In hospitality sales, buyers aren't just buying revenue. They're buying confidence in what they're stepping into. And uncertainty — in any form — gets priced in as a discount.
